Terms of Service — ReplyFast.io

These Terms of Service ("Terms") govern your use of the ReplyFast.io website and your engagement with our fully managed AI voice receptionist services ("Service"). By submitting an inquiry, booking a discovery call, or entering into a service agreement with ReplyFast.io ("ReplyFast," "we," "us," or "our"), you agree to these Terms. Please read them carefully.

1. Description of Service

ReplyFast.io provides a fully managed AI voice receptionist service for service-based businesses. Our service includes:

An initial discovery call to understand your business, call flows, staff structure, and requirements
Custom configuration and training of an AI voice receptionist tailored to your business
Setup of call routing, scheduling assistance, intake scripts, and FAQ handling
Ongoing maintenance, monitoring, and updates to your AI receptionist
Optional add-ons such as WhatsApp Schedule Assistant or Telegram dispatch integration (where applicable)

ReplyFast.io is a fully managed service. Clients do not configure the AI themselves. All setup, customization, and maintenance is handled by our team.

2. Onboarding & Account Access

To use our service, you must:

Be a legally operating business entity or sole proprietor
Complete a discovery call with our team before service begins
Provide accurate and complete business information during onboarding
Designate an authorized point of contact for ongoing communication

You are responsible for keeping your contact information current and notifying us promptly of any changes to your business that may affect the AI receptionist's configuration (e.g., new staff, changed hours, new services).

3. Acceptable Use

You agree to use the Service only for lawful business purposes. You may not use our service to:

Conduct or facilitate any illegal activity
Collect or process caller information without appropriate notice to callers
Deceive callers about the nature of the AI receptionist (you must not instruct us to claim the AI is a human when directly and sincerely asked)
Violate any applicable laws regarding call recording or data privacy in your jurisdiction
Interfere with or disrupt our infrastructure or other clients' services

We reserve the right to suspend or terminate service immediately if we determine that you are using the Service in a manner that violates these Terms or applicable law.

4. Call Recording Compliance

Important: You are solely responsible for ensuring that your use of call recording features complies with all applicable federal, state, and local laws — including two-party or all-party consent laws where required (e.g., California, Florida, Illinois).

ReplyFast.io will configure the AI receptionist to announce call recording where technically feasible, but compliance remains your responsibility. We are not liable for any legal claims arising from your failure to obtain required consents.

5. Fees & Payment

ReplyFast.io does not publish public pricing. Fees are agreed upon between you and ReplyFast.io as part of your service agreement following your discovery call.

Service fees are invoiced monthly (or as otherwise agreed in writing)
Invoices are due within 14 days of the invoice date unless otherwise specified
Late payments may result in service suspension after 7 days' written notice
Fees are non-refundable unless otherwise stated in your service agreement
We reserve the right to adjust pricing with 30 days' written notice to active clients

6. Intellectual Property

ReplyFast.io retains all intellectual property rights in the AI systems, software, infrastructure, and methodologies used to deliver the Service. Nothing in these Terms grants you ownership of any ReplyFast technology.

You retain ownership of your business information and call data. By using our Service, you grant ReplyFast.io a limited license to use your business information solely to configure and operate your AI receptionist.

Anonymized, aggregated call data may be used to improve our AI models. This data will never be attributed to your business or shared in identifiable form.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of the service relationship. This includes:

Business-specific call scripts, pricing, and operational procedures you share with us
Our internal AI configurations, pricing structures, and proprietary methodologies
Any client lists, patient names, customer data, or personal information processed through the AI receptionist

Confidentiality obligations survive termination of the service agreement for a period of 3 years.

8. Disclaimers & Limitation of Liability

The Service is provided "as is" with reasonable care and skill. We do not guarantee:

100% uptime or uninterrupted availability of the AI receptionist
That the AI will handle every call perfectly or with zero errors
Specific business outcomes (revenue, leads, bookings) as a result of using the Service

To the maximum extent permitted by law: ReplyFast.io's total liability for any claim arising from the Service shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

9. Indemnification

You agree to indemnify and hold ReplyFast.io harmless from any claims, damages, or expenses (including reasonable legal fees) arising from:

Your violation of these Terms
Your failure to comply with call recording consent laws
Any misrepresentation of your business information during onboarding
Third-party claims relating to your callers' data or your business operations

10. Term & Termination

Your service agreement begins on the go-live date of your AI receptionist and continues on a monthly basis unless otherwise agreed.

You may cancel with 30 days' written notice. Fees for the current billing period are non-refundable.
We may terminate your service immediately for material breach of these Terms, non-payment, or illegal use.
Upon termination, we will provide you with a copy of your call logs and data within 14 days, after which your data will be deleted per our Privacy Policy.

11. Governing Law & Disputes

These Terms are governed by the laws of the United States. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

12. Changes to These Terms

We may update these Terms from time to time. For active clients, we will provide at least 30 days' written notice before material changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

For website visitors who have not entered into a service agreement, changes take effect when posted to this page.
